Registry & Platform Terms of Use
For Mothers Creating a Registry and Loved Ones Giving Gifts
These Registry & Platform Terms of Use (the "Terms") are entered into between GiftingNest Services, a business registered in the Federal Republic of Nigeria with RC/BN No. 9694952, of Lagos, Nigeria (tel: 08174168419) ("GiftingNest", "we", "us" or "our"), and you, as a user of the GiftingNest platform ("you" or the "Customer"). They are the same standard Terms for every user and are not individually negotiated.
How you accept these Terms. If you create a Mother account, you accept these Terms by ticking the acceptance box during sign-up. If you are a gift-giver checking out as a guest, you accept the parts of these Terms that apply to gift-givers (see clause 2.3) by ticking the equivalent box at checkout. No handwritten signature is required, and ticking the box is legally binding.
1. Definitions
1.1 In these Terms, the following words have the meanings below:
- "Platform"
- The GiftingNest website, applications and services.
- "Mother"
- A Customer who creates and manages a Registry.
- "Gift-Giver"
- A person who makes a Contribution or purchase from a Registry, whether or not they hold a Mother account.
- "Customer"
- A Mother and/or a Gift-Giver, as the context requires; "you" refers to whichever applies.
- "Registry"
- A list of Products a Mother creates on the Platform for loved ones to gift from.
- "Registry Item"
- An individual Product added to a Registry.
- "Product(s)"
- Baby and related items listed on the Platform by GiftingNest's Vendor Partners.
- "Vendor"
- A business that supplies Products listed on the Platform.
- "Contribution"
- A payment made by a Gift-Giver toward a Registry Item.
- "Fully Funded"
- The point at which Contributions received for a Registry Item equal its full displayed price.
- "Order"
- A confirmed instruction to a Vendor to supply a Product, arising when a Registry Item is Fully Funded, purchased outright, or bought through "Complete My Registry".
- "Complete My Registry"
- The feature allowing a Mother to purchase her own remaining, unfunded Registry Items.
- "Paystack"
- The third-party payment processor used by the Platform, or any replacement processor.
- "NDPR"
- The Nigeria Data Protection Regulation 2019 and the Nigeria Data Protection Act 2023, and any related subsidiary legislation, each as amended.
- "Content"
- Any text, images, messages or other material a Customer submits to the Platform, including Registry details and gift messages.
2. Eligibility and Accounts
2.1 You must be at least 18 years old to create a Mother account or to make a Contribution as a Gift-Giver.
2.2 To create a Registry, a Mother creates an account with an email and password, or such other sign-up method as the Platform offers, and provides accurate account information, including her name and due date (where provided) and delivery details.
2.3 A Gift-Giver may make a Contribution using guest checkout, providing name, phone number, and payment details, without creating an account. By completing a Contribution, a Gift-Giver accepts the parts of these Terms applicable to Gift-Givers, in particular clauses 5, 6, 8 and 11 to 17.
2.4 You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
2.5 You shall keep your account information accurate and up to date.
3. The Registry Service
3.1 A Mother may create a Registry, add Registry Items from the Platform's catalogue, set priority and quantities, and add notes for Gift-Givers.
3.2 A Mother may edit, remove or reprioritise Registry Items at any time before they are Fully Funded. Once a Registry Item is Fully Funded, it may not be removed, but the Mother may continue to manage the rest of her Registry.
3.3 A Mother may generate a shareable Registry link to distribute to loved ones by any means she chooses (including WhatsApp, SMS, social media, or email).
3.4 A Registry is intended for the Mother's personal, non-commercial use in preparing for and after the arrival of her baby. Registries may not be created for resale, commercial solicitation, or any purpose unrelated to genuine gift-giving.
3.5 GiftingNest may make reasonable suggestions (such as starter lists or due-date-based recommendations) to help a Mother build her Registry; these are suggestions only and do not obligate the Mother to add any particular item.
4. Gift-Giving and Contributions
4.1 A Gift-Giver may fund a Registry Item in full, make a partial Contribution toward it (where multiple Gift-Givers may contribute to the same item over time), or purchase a Registry Item outright.
4.2 A Registry Item becomes an Order, and a Vendor becomes obliged to fulfil it, only once it is Fully Funded and the Order is confirmed by the Platform.
4.3 A Contribution towards a Registry Item that is not yet Fully Funded is held and attributed to that Registry Item. It does not create a right to the Product until the Registry Item is Fully Funded.
4.4 A Gift-Giver may add an optional personal message to accompany a Contribution.
4.5 A Mother may use Complete My Registry to purchase any of her own remaining, unfunded Registry Items at any time.
4.6 GiftingNest may offer direct shopping outside of a Registry. Where a Product is purchased directly, clauses 5 to 8 apply in the same way as to a Registry purchase.
5. Pricing and Payments
5.1 Prices displayed on the Platform are in Nigerian Naira (₦) and are inclusive of VAT and other applicable taxes, unless stated otherwise.
5.2 All payments and Contributions are processed through Paystack. GiftingNest does not store your full card details.
5.3 GiftingNest may change the price of a Product that has not yet been Fully Funded. A price change does not affect a Registry Item that is already Fully Funded or an Order already confirmed.
5.4 By making a Contribution or purchase, you authorise GiftingNest to process payment through Paystack for the amount shown at checkout.
6. Orders, Delivery and Fulfilment
6.1 Once a Registry Item is Fully Funded and the Order confirmed, the relevant Vendor is responsible for preparing and dispatching the Product to the delivery address on the Registry or Order.
6.2 It is the Mother's responsibility to keep her delivery address current. GiftingNest is not responsible for delivery delay or failure caused by an incorrect or outdated address.
6.3 Estimated delivery timing shown on the Platform is indicative and not guaranteed. GiftingNest will share dispatch and, where available, tracking information.
6.4 Risk in a Product passes to the Mother on delivery to the address provided.
7. Vendor Products and GiftingNest's Role
7.1 Products listed on the Platform are supplied by independent Vendor Partners under separate agreements with GiftingNest. GiftingNest curates its Vendor Partners and the Products it lists, but is not the manufacturer of any Product.
7.2 GiftingNest coordinates the Customer experience — including payments, Registry management, customer support and, where a Product issue arises, liaison with the relevant Vendor — so that Customers deal with one Platform rather than multiple vendors directly.
7.3 Where a Product issue is caused by a Vendor (such as a defect or dispatch failure), GiftingNest will coordinate the resolution with that Vendor in accordance with clause 8, but the ultimate responsibility for the Product's quality rests with the Vendor that supplied it.
8. No Change-of-Mind Returns; Faulty or Incorrect Items
8.1 Because baby products are sensitive by nature, and every Product is inspected and tested before dispatch, GiftingNest operates a no change-of-mind returns policy: once an Order is dispatched, you may not return, exchange or seek a refund for a Product simply because a Gift-Giver or the Mother changed their mind, ordered by mistake, or no longer wants it.
8.2 Exception — faulty or incorrect items. If a Product arrives damaged, defective, or is not the Product ordered, the Mother must notify GiftingNest within 48 hours of delivery to request a replacement or a full refund. This exception reflects rights under applicable consumer-protection law that cannot be excluded, and GiftingNest will coordinate the claim with the relevant Vendor.
8.3 An Order may be cancelled before dispatch in the circumstances GiftingNest's support team confirms are permitted. Any refund arising from a cancellation or an approved claim under clause 8.2 is processed through Paystack.
8.4 A Contribution toward a Registry Item that has not yet become Fully Funded may be eligible for a refund to the Gift-Giver in limited circumstances (for example, where the Mother removes the item before it is funded); GiftingNest's support team will advise on the process.
9. Account Suspension and Closure
9.1 You may close your Mother account at any time by contacting GiftingNest support. Closing an account does not affect Orders already confirmed.
9.2 GiftingNest may suspend or close an account, or decline a Contribution, where reasonably necessary to prevent fraud, abuse, a breach of these Terms, or a legal or safety risk, and will where practicable notify the Customer.
10. Your Content
10.1 You retain ownership of Content you submit (such as a Registry title, notes, photos, or gift messages). You grant GiftingNest a licence to host, display and use that Content solely to operate and improve the Platform and to display your Registry to the Gift-Givers you choose to share it with.
10.2 You shall not submit Content that is unlawful, infringes another person's rights, or is offensive, misleading or harmful.
10.3 GiftingNest may remove Content that breaches clause 10.2 or these Terms.
11. Acceptable Use
11.1 You shall not: use the Platform for any unlawful or fraudulent purpose; attempt to circumvent Platform payments; misuse another person's Registry or personal information; interfere with the Platform's operation or security; or use the Platform to harass, deceive or harm another person.
11.2 GiftingNest may investigate and take appropriate action, including suspending an account, where it reasonably believes this clause has been breached.
12. Data Protection and Privacy
12.1 GiftingNest processes personal data (such as your name, contact details, delivery address, due date and payment information) in accordance with the NDPR and GiftingNest's Privacy Policy.
12.2 GiftingNest shares limited Customer information with a Vendor solely to the extent necessary to fulfil an Order (such as delivery address and contact details for that Order).
12.3 GiftingNest shares Registry information with a Gift-Giver only to the extent the Mother chooses, by sharing her Registry link.
12.4 GiftingNest implements appropriate technical and organisational measures to protect personal data and will notify affected Customers without undue delay of any personal-data breach affecting their data, as required by law.
13. Intellectual Property
13.1 The Platform, its design, software and the GiftingNest brand are owned by GiftingNest. You may not copy, reproduce or create derivative works from the Platform except as necessary for your personal, non-commercial use of it.
14. Disclaimers and Limitation of Liability
14.1 The Platform is provided "as is". GiftingNest does not warrant that the Platform will be uninterrupted or error-free, and does not warrant the quality of a Product beyond the rights expressly given in clause 8.2, which remain the responsibility of the relevant Vendor.
14.2 Neither Party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue or goodwill, however arising.
14.3 Subject to clause 14.4, GiftingNest's total aggregate liability to you under these Terms is limited to the total amount you paid to GiftingNest through the Platform in the 12 months preceding the event giving rise to the claim.
14.4 Nothing in these Terms excludes or limits liability for: fraud or fraudulent misrepresentation; death or personal injury caused by negligence; breach of data-protection obligations; or any liability that cannot be excluded or limited by law, including rights under clause 8.2.
15. Changes to These Terms
15.1 GiftingNest may update these Terms from time to time. Where a change is material, GiftingNest will give reasonable notice (such as an in-app notice or email) and, for a Mother account, may require renewed acceptance. Continued use of the Platform after an update takes effect constitutes acceptance of the updated Terms, to the extent permitted by law.
16. Governing Law and Dispute Resolution
16.1 These Terms are governed by the laws of the Federal Republic of Nigeria.
16.2 If you have a complaint, please contact GiftingNest support first so we can try to resolve it directly. If a dispute cannot be resolved this way within 21 days, either Party may refer it to mediation, failing which either Party may submit to the exclusive jurisdiction of the courts of Lagos State.
17. General
17.1 Entire agreement. These Terms are the entire agreement between you and GiftingNest regarding your use of the Platform, together with GiftingNest's Privacy Policy.
17.2 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in force.
17.3 No waiver. A failure or delay by GiftingNest in exercising a right is not a waiver of it.
17.4 Assignment. GiftingNest may assign these Terms to an affiliate or successor to its business, on notice where required by law. You may not assign your account or rights under these Terms.
17.5 Notices. GiftingNest may contact you using the email address, phone number or in-app notifications associated with your account.
18. Acceptance
18.1 You accept these Terms electronically by ticking the acceptance box during Mother sign-up, or the equivalent box at Gift-Giver checkout. This is valid and legally binding and takes the place of a handwritten signature.
18.2 GiftingNest keeps a record of each acceptance, including the account or checkout session, the date and time, and the version of these Terms accepted.
